Deed Dated: 15 December 1976

It is hereby witnessed by those the undersigned that the assets, land, property real and personal, chattels and choses in action and all such other rights, entitlements, benefits, claims and actions comprising the Trust Property as enumerated in the Schedule and all such other things appertaining thereto are held by the Trustees on trust for the charitable purposes further defined herein.

The purpose of the trust shall be the charitable provision of a newspaper to inform, educate and advise members of the parish of Tilebury Village.

The Trustees from time to time shall by majority vote have the power to do all such things as they think fit in relaiton to the Property of the Trust including without limitation the power to charge for any products of the Trust, to acquire or sell property or assets (real or personal) which shall cease to be and become, respectively, part of the Trust Property, to loan or charge any Trust Property, to raise subscriptions, to receive donations, to advertise and to express opinion through the newspaper subject to the approval of the editor from time to time. The Trustees shall not be paid for being Trustees.

The Trustees shall approve Rules for the management of the newspaper subject to this Trust and shall act in accordance with those rules which shall require unanimous agreement of all Trustees from time to time to amend, revoke or vary. Those such aforementioned Rules shall provide for the appointment of an Editor who shall be a Trustee.

The initial Trustees shall be the undersigned Martha Sarah Lucille Everrett, Luna Elisabeth Paddock, Megan Kinear and Theodora Anstruther Blaise Morton for their lifetimes or for such period until their retirement in accordance with rules of the Trust which shall be made under hand and validly executed from time to time by unanimous agreement from the Trustees from time to time.

The Schedule referred to in the Deed Dated 15 December 1976

The following shall be the initial Property of the Trust.

  1. The sum of £3,452.12 held to the account of the Trust with the Barclays Bank, T'mas Broad, Tilebury.
  2. The freehold of the Mews House, Market Street, Tilebury.
  3. The freehold of Everett's yard, Compon Passage, Tilebury.
  4. All fixtures and fittings and all chattels currently located within or affixed to the aforementioned properties at the Mews House, Market Street, Tilebury and Everett's yard, Compon Passage, Tilebury.

Codicil of 8 March 1992 to the Deed Dated: 15 December 1976

The Tilebury Newspaper Trust Deed dated 15 December 1976 shall be amended hereby.

The purpose of the trust shall be amended to include, in addition to other existing purposes, the use of property within the Parish of Tilebury Village (as defined in the Tilebury Newspaper Trust Deed) for the benefit of all residents of that said Parish of Tilebury Village including without limitation their artistic, social, spiritual, recreational and entertainment needs.

The land identified in the schedule shall be held by the Trustees as Trust Property in addition to such other Trust Property as currently belongs to the Trust.

The Schedule referred to in the Codicil of 8 March 1986 to the Deed Dated: 15 December 1976

The following Land shall be held as Trust Property.

  1. The freehold of the land registered at the Land Registry under title No. 56642/25 known as Plot 6, Tilebury Riverside.

Rules of the Tilebury Newspaper Trust amended and restated at 26 July 2001

The Rules of the Tilebury Newspaper Trust as referred to in the Deed dated 15 December 1976 shall be:

  1. The trust is for the benefit of the residents of the Parish of Tilebury Village (according to the Parish boundaries as at 15 December 1976). For the purposes of these Rules Residents shall be any adult (over sixteen years of age) normally resident at the relevant time within the Parish.
  2. Any Resident who has had two or more contributions (not including advertising) published within the newspaper within the 12 months preceding any general meeting shall be deemed 'Regular Contributors' to the newspaper.
  3. There shall be three Trustees including the Editor [amendment from prior rules] all of whom shall be Residents.
  4. In the event of the number of Trustees falling below three, any Regular Contributor (including the Editor) may on two months' notice call an extraordinary general meeting of Regular Contributors at which the candidates with the highest number of votes (which may be taken by poll) shall be appointed as Trustees up to the maximum number of Trustees.
  5. The Trustees shall appoint an Editor who shall be a Resident and shall be Trustee by virtue of his or her appointment. The Editor shall be deemed to have ceased to be a Trustee immediately upon resignation. In such circumstances, the remaining Trustees may appoint a new Editor without the need for a general meeting. The Trustees may unanimously (excluding any vote of the Editor) resolve that the Editor resign with immediate effect. If so the Editor shall be deemed to have resigned.
  6. Any Resident may call a public meeting on two months' notice on the motion that one or more Trustees (including the Editor) shall be required to resign with immediate effect. At any such meeting all Trustees (including the Editor) shall be deemed to have resigned and new trustees shall be elected by majority of votes cast (which may be by poll) by Residents attending the public meeting starting with election of the Editor.
  7. Any Trustee may call an annual (or other periodic) general meeting of the Regular Contributors by giving at least two months' notice.
  8. At any public meeting or general meeting, the Chairman shall be the Regular Contributor whose first/given name ranks first in alphabetical order. The Chairman's decision on procedural or administrative matters or on interpretation of these Rules shall be final.
